These Terms & Conditions form a legally binding agreement between you and Adrient Pvt Ltd governing your access to our SaaS platform, subscription plans, add-on plugins and related services (the "Services"). By registering, purchasing or using the Services you agree to these Terms and to our Privacy Policy and Refund Policy, incorporated by reference.
You must be at least 18 and able to form a binding contract under the Indian Contract Act, 1872. You agree to provide accurate information, keep it updated, and safeguard your login credentials. You are responsible for all activity under your account and must notify us of any unauthorised use.
Subject to payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the subscribed Services and plugins for your internal business or personal purposes during your subscription term. Add-on plugins are licensed, not sold, and may carry additional terms presented at purchase. You may not copy, modify, reverse-engineer, resell or redistribute the Services except as expressly permitted. All intellectual property remains the property of Adrient and its licensors.
You must use the Services lawfully and must not: violate any law or third-party right; upload unlawful or infringing content; introduce malware or attempt unauthorised access; disrupt the Services; build a competing product or circumvent limits; or provide access to unauthorised third parties. We may investigate and act, including suspension or termination, against violations.
Fees are charged per the plan and billing cycle you select, exclusive of applicable taxes (including GST). Payments are processed securely through third-party gateways (Razorpay, Stripe or PayPal). Subscriptions renew automatically at the end of each cycle at the then-current rate unless you cancel auto-renewal before the renewal date; cancellation takes effect at the end of the current cycle. Non-payment may result in suspension or termination. Refunds are governed by our Refund Policy.
These Terms remain in effect while you hold an account. You may terminate at any time by cancelling your subscription. We may suspend or terminate access for breach, non-payment or unlawful activity, or where required by law. Provisions that by their nature survive termination (IP, liability, indemnity, governing law) shall survive.
We strive to keep the Services available but do not guarantee uninterrupted or error-free access. We may modify, suspend or discontinue features, and change plans, pricing or plugin offerings on reasonable notice where required.
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the maximum extent permitted by law, Adrient shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Adrient and its affiliates from claims arising out of your use of the Services, your violation of these Terms, or your infringement of third-party rights.
These Terms are governed by the laws of India. The courts at Krishnagiri, Tamil Nadu shall have exclusive jurisdiction. Parties shall first attempt amicable resolution; failing that, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Tamil Nadu and conducted in English before a sole arbitrator.
If any provision is held invalid, the remainder continues in force. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of assets. These Terms, with the Privacy and Refund Policies, form the entire agreement.
